Ughi e Nunziante antitrust counsel to Bain in acquisition of Italian data bank Cerved

The Firm’s antitrust department successfully represented Bain Capital in the filing with the Italian Antitrust Authority relating to the acquisition – together with Clessidra – of 92% of the shares of Centrale dei Billanci, a company which holds 85% of Cerved Business Information. Bain (as to 80%) and Clessidra (as to 20%) purchased the stake from a pool of banks, including Intesa Sanpaolo, UniCredit, Gruppo Montepaschi, Banco Popolare, Banca d’Italia, BNL and UBI.

Cerved is a leading provider of business information in Italy, and the acquisition is one of the largest private equity transactions completed in Italy in 2008.
